These Terms and Conditions ("Terms") govern your use of the websites adellacarlsonstudios.com and themusiciansassistant.com, as well as any products, services, memberships, coaching programs, consulting services, virtual assistant services, lessons, classes, and digital resources offered by Adella Carlson Studios, LLC ("Company," "we," "us," or "our").

By accessing our websites or purchasing any product or service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to purchase services from the Company.

Parents and legal guardians may enroll minors in educational programs, lessons, and classes on behalf of the child.

2. Services Offered

The Company may provide:

  • Private music lessons

  • Group music classes

  • Clarinet and piano instruction

  • Membership programs

  • Coaching and consulting services

  • Virtual assistant services

  • Digital products and educational resources

  • Performance services

  • Workshops and training programs

We reserve the right to modify, suspend, or discontinue any service at any time.

3. Payments

Payment is required in advance unless otherwise agreed in writing.

By providing payment information, you authorize the Company and its payment processors to charge the applicable fees.

Failure to submit payment may result in suspension or termination of services.

4. Recurring Payments

Certain memberships, coaching programs, and service packages may be billed on a recurring basis.

By enrolling in a recurring program, you authorize automatic recurring charges until canceled in accordance with these Terms.

You are responsible for maintaining accurate payment information.

5. Lesson Policies

Scheduling

Lesson times are reserved specifically for each student.

Student Cancellations and Rescheduling

Requests to cancel or reschedule lessons must be submitted during the previous calendar month.

Requests made after that deadline may not be accommodated.

Missed Lessons

Lessons missed by a student for any reason, including failure to attend, are forfeited and will not be refunded, credited, or rescheduled.

Teacher Cancellations

If the instructor must cancel a lesson, a makeup lesson or alternative arrangement will be provided.

6. Memberships

Memberships are billed monthly unless otherwise stated.

Members may cancel their membership at any time.

Upon cancellation, access to membership content, materials, resources, and benefits will terminate at the end of the applicable billing period unless otherwise specified.

No refunds will be issued for partial membership periods.

7. Coaching, Consulting, and Virtual Assistant Services

Monthly coaching, consulting, and virtual assistant service packages require a minimum commitment of three (3) months unless otherwise stated in a written agreement.

After the initial commitment period, either party may terminate services with at least fourteen (14) days' written notice.

Fees are due in advance of services being performed.

Failure to make timely payment may result in suspension or termination of services.

8. No Refund Policy

ALL SALES ARE FINAL.

The Company does not provide refunds for:

  • Lessons

  • Group classes

  • Memberships

  • Coaching programs

  • Consulting services

  • Virtual assistant services

  • Digital products

  • Workshops

  • Events

  • Downloadable resources

Exceptions may be made only when required by applicable law.

9. Digital Products

Digital products are delivered electronically and are available immediately upon purchase unless otherwise stated.

Because digital products are delivered instantly, all digital product sales are final and non-refundable.

10. Intellectual Property

All content provided through the websites, services, memberships, lessons, digital products, and programs is the exclusive property of Adella Carlson Studios, LLC unless otherwise noted.

This includes but is not limited to:

  • Text

  • Logos

  • Branding

  • Graphics

  • Downloads

  • Educational materials

  • Worksheets

  • Videos

  • Audio recordings

  • Course content

  • Membership content

No content may be copied, reproduced, distributed, modified, sold, shared, or republished without prior written permission.

11. Limited License

Users are granted a limited, non-transferable, non-exclusive license to access purchased materials for personal use only.

You may not:

  • Redistribute purchased materials

  • Share login credentials

  • Sell or sublicense materials

  • Upload materials to public websites

  • Present Company content as your own work

12. Testimonials

The Company may publish testimonials, reviews, and client success stories.

Testimonials reflect individual experiences and results.

Results are not guaranteed and may vary significantly from person to person.

13. Acceptable Use

You agree not to:

  • Submit false information

  • Interfere with website operations

  • Attempt unauthorized access to systems

  • Introduce malware or harmful code

  • Use automated systems to scrape website content

Violation of this section may result in immediate termination of access.

14. Third-Party Services

The Company may utilize third-party platforms and service providers.

We are not responsible for outages, interruptions, errors, or actions of third-party providers.

15. Disclaimer of Warranties

The Company makes no guarantees regarding:

  • Business results

  • Financial results

  • Availability of services

To the fullest extent permitted by law, all warranties are disclaimed.

16. Limitation of Liability

To the maximum extent permitted by law, Adella Carlson Studios, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the websites, services, products, or materials.

The Company's total liability shall not exceed the amount paid by the client for the applicable service during the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Adella Carlson Studios, LLC, its owners, contractors, employees, and representatives from any claims, damages, losses, liabilities, and expenses arising from your use of the websites or services.

18. Termination

The Company reserves the right to suspend or terminate access to services, memberships, websites, or programs at any time for violation of these Terms or other business reasons.

19. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of North Carolina, without regard to conflict of law principles.

20. Dispute Resolution

The parties agree to make a good-faith effort to resolve disputes informally before pursuing legal action.

Continued use of our websites or services after changes are posted constitutes acceptance of the revised Terms.
